Terms and Conditions – rami Studio

1. What are terms and conditions?
1.1 These General Terms and Conditions set out the terms and conditions under which the company (company name Teranokat OG, trade name rami ceramics or rami keramikstudio, hereinafter referred to as “rami”, “the rami studio” or “the company”) provides its services. Services include
-
co-making,
-
offering courses, workshops and events,
-
the provision of burning service and
-
selling clay and pottery materials
The services and offers of our company are provided exclusively on the basis of these terms and conditions; we do not recognize any terms and conditions of the customer that conflict with or deviate from our terms and conditions unless we have expressly agreed to their validity. Contract fulfillment actions on our part do not constitute consent to contractual conditions that deviate from our terms and conditions. These terms and conditions also serve as a framework agreement for all other legal transactions between the contracting parties.
1.2 Please read these Terms and Conditions carefully and make sure you understand them. If you do not agree to the Terms and Conditions, you must not become a client of rami Studio or become a Co-Making Member.
1.4 The Company may change these Terms and Conditions at any time. We will notify you of any changes to these Terms and Conditions either by emailing you and/or by posting them on the Studio. If you continue to use our Services after any changes to these Terms and Conditions have been made and notified to you, you agree to be bound by those changes.
1.5 You can view the most current version of our Terms and Conditions at any time by clicking on the "Terms and Conditions" link at the bottom of the rami website ( www.rami-ceramics.com ). It is your responsibility to ensure that you are familiar with the current Terms of Use, so it is recommended that you check the above link regularly.
1.6 The following definitions apply in the General Terms and Conditions:

“The Company” or “rami Studio” refers to Teranokat OG, trading name rami

“Studio” means the Company’s Vienna studio with the address: Volkertplatz 15, 1020 Vienna, Austria

“General Terms and Conditions” means these General Terms and Conditions

“Customer” means anyone who uses or purchases a service or product for a fee in the rami Studio
-
“Co-Making Membership” refers to the provision of a workspace in the rami studio for 20 hours per month, including access to a pottery wheel, work table and storage space. It also includes the use of the rami firing service (at an additional cost).

“Co-Making Member” refers to a person who has purchased a Co-Making membership for 20/30 or 40 hours per month
-
“Registration Form” means the form to be completed by a person wishing to become a Co-Making Member
-
“Courses and workshops” refers to any form of organised training for which a fee is payable.

“Course and workshop participants” refers to any customer who pays for a course or workshop
-
“Flexible Hour” refers to a single hour in the open studio offered by rami. The Flexible Hour allows the client to use the co-making studio for 60 minutes. These hours can be booked as often and as many times in a row as the client wishes.

“Firing Service” refers to rami’s service of firing ceramic pieces in professional kilns at various temperatures for a fee.

“Rami Shop” refers to the shop at Volkertmarkt 15, 1020 Vienna, which sells a range of ceramic supplies
-
“Week” refers to a calendar week (Monday to Sunday).

“Month of Use” refers to 1 calendar month
2. General
2.1 Each Customer represents and warrants to the Company that all information provided by him/her is true and correct as of the date provided to the Company. Each Member is obliged to inform the Company of any change in telephone number or email address.
2.2 The company reserves the right to refuse access to the studio.
2.4 Except in the case of children's courses, children between 10 and 14 years of age may only use the studio or attend a course if they are accompanied by a parent or a person authorized in writing by the parents, who must also be a paying customer.
2.5. In cases of slight negligence, the rami Studio (its managing directors, employees, contractors or other vicarious agents) assumes no liability for material or financial damage to participants, regardless of whether it is direct or indirect damage, loss of profit or consequential damage, damage due to delay, impossibility, positive breach of contract, fault when concluding the contract, or due to defective or incomplete performance. The injured party must prove the existence of gross negligence. Insofar as the liability of the rami Studio is excluded or limited, this also applies to the personal liability of its managing directors, employees, contractors or other vicarious agents.
2.6. Personal items are brought into the studio premises at your own risk. Rami accepts no liability for loss or damage to such items.
2.7. All information provided by rami in publications and websites is created to the best of our knowledge and belief. However, Rami assumes no liability for the timeliness, accuracy and completeness of the information provided, unless rami can be accused of intent or gross negligence.
2.8 Rami assumes no liability with regard to a specific personal learning success and cannot be held liable for a specific individual success of the courses and workshops conducted by Rami.
3. Special provisions for co-making
3.1 “Co-Making” refers to the provision of a work space in the rami studio, including access to a pottery wheel, table space and personal storage space, the size of which depends on the decision of the management and is the same for all participants. Additional storage space can be rented subject to availability and for a fee. It also includes access to the rami living room and use of rami’s firing service (additional costs). Any customer who purchases a Co-Making membership is entitled to use the studio for 20/30 or 40 per month depending on the hourly model selected. A Co-Making member is entitled to use the studio’s facilities during opening hours depending on the model booked and subject to these Terms and Conditions, provided that rami may at any time without prior notice keep its facilities closed in whole or in part for certain periods (e.g. due to cleaning, repair, alteration or maintenance work).
3.2. A person will not become a Co-Making Member until he/she has completed the registration form and his/her request has been accepted in writing by rami, at which point the Member will be deemed to have irrevocably agreed to these Terms and Conditions.
3.3. Once a contract has begun, co-making memberships are not personally or temporally transferable and cannot be shared with others.
3.4. In the event that a co-making member wishes to use additional studio time during a month, he/she must notify and pay for this at reception after completing the hours. The current price can be requested from management. The provision of additional studio time is subject to availability and at the discretion of rami management.
3.5. The glazes and engobes provided by rami for the studio are clearly marked as such and can be used freely by all members until capacity is exhausted. The availability of these glazes and engobes can vary; rami is not obliged to provide them without restriction at all times. Clay and additional glazes or engobes must be purchased separately in the rami shop or externally. The Rami firing service is available to co-making members at a reduced price (see section 5).
3.6 The Company reserves the right to change the opening hours. The opening hours are detailed on the Website and will be updated from time to time.
3.7. The studio is closed to co-making users for a minimum of three weeks per calendar year. The company reserves the right to close the studio for additional periods at its sole discretion. If a subscription runs for a period in which the studio is closed, the missed hours will be converted into credit. Users will be informed of this.
3.8. A Co-Making Member may terminate a subscription within 14 days after the Company has accepted his subscription without giving any reason, provided that he has not used the Studio during that time. To terminate a subscription under this condition 3.9., the User must send the Studio a written termination by email or by letter (hand-delivered to a Rami employee). Rami also reserves the right to terminate early within 14 days without giving any reason. The termination takes effect immediately, which means that the Studio can no longer be used from that point on.
3.9 Subject to any statutory right of withdrawal, payments for subscriptions are non-refundable unless otherwise stated in these Terms and Conditions.
3.10. The co-making member agrees that he cannot cancel the subscription before the agreed minimum contract period. The minimum contract period is 3 months. The membership can therefore only be canceled after 2 months on the last day of the month with a 1-month notice period. For example: I cancel my subscription on March 31, 2024 and it will therefore end on April 30, 2024.
3.11. Rami reserves the right to terminate the contract with a co-making member at any time for an important reason. Important reasons include, but are not limited to:

qualified default in payment despite two reminders;

Commission of a criminal offence by the user in the studio;

Culpable causing of personal injury or property damage in the studio;

Immoral or grossly offensive behavior, as well as violations of the house rules; or
-
failure to follow instructions from studio staff/management or teaching staff.
The company reserves the right to expel members from the studio, terminate membership, suspend membership for a certain period of time or refuse membership to any member whose behavior is, in the opinion of the rami management, detrimental to the studio community and the character of the studio (in particular racist, sexist, homophobic or transphobic behavior and statements as well as disrespectful, violent and otherwise improper anti-social behavior) and who violates any of these General Terms and Conditions (as amended from time to time), or if refusal of membership is in the interests of the other customers and co-making members. Any member who is expelled from the studio due to a violation of these Terms and Conditions will lose their function as a member of the studio with immediate effect and will not be entitled to a refund for payments already made.
Members whose membership is suspended for a period of time for the reasons set out above will not be entitled to a refund of the fees for that period. Notwithstanding the foregoing, the Studio may terminate a Member's membership if the Member fails to make payment of the amount owed to the Studio within 14 days of the amount becoming due. In the event of termination for non-payment, the balance of the fees due for membership will become immediately due. Termination of these Terms and Conditions shall not extinguish the rights and obligations of the Studio and the Member accrued and owed prior to the date of termination.
3.12. After the minimum contract period has expired, the subscription will continue until terminated.
3.13. If a member does not pay his/her subscription fees during the minimum contract period (or cancels his/her subscription during the minimum contract period), he/she is liable for the outstanding costs up to the end of the minimum contract period. In the event of arrears, rami will send two reminders and request payment of the arrears. Reminder fees of EUR 7 will be charged for each reminder. If outstanding arrears are not paid within the period specified in the second reminder, the claim will be forwarded to a debt collection agency for collection. The costs incurred in this connection are to be borne entirely by the co-making member. Furthermore, rami reserves the right to terminate the contract early in accordance with point 3.12.
3.14. Prices for Co-Making memberships are available either on the Website or directly in the Studio and are those set by the Company. Subscription fees may be increased at the discretion of the Company's management. Any increase in subscription fees must be communicated to Members at least 10 working days in advance. Any User who does not wish to accept a change in subscription fees proposed by rami Studio may terminate their subscription by notifying rami in accordance with the terms in 3.9. The terminating Member must continue to pay their subscription fees (at the previous rate) until the end of such notice period (or, in the case of a Member whose minimum contract term has not yet expired, until the end of such period).
3.15 Subscription fees must be paid in accordance with these Terms and Conditions whether or not the Member uses the Studio facilities.
3.16. External persons, rami customers or co-making members can purchase individual hours for use of the rami studio during rami opening hours. The hours are paid for immediately at the cash desk after completion. Use of the studio gives the buyer access to rami glazes and engobes, tools, a workstation and a potter's wheel as well as access to the rami living room. Clay and firing costs are not included in the price of the hourly rate and must be purchased separately. Each hour started is charged as a full hour. The hours are not transferable, not exchangeable and not refundable. .
4. Special provisions for courses and workshops
4.1. “Courses and Workshops” refers to any form of organised training for which a fee is payable. Participants in rami courses and workshops may only use rami facilities during the course or workshop times.
4.2. A place in a rami course or workshop can be purchased in the online shop or directly in the rami studio. To do so, the name, telephone number and email address must be sent to the rami studio when participating for the first time. Registration is complete when the invoice is issued. At this point, it is assumed that the participant has irrevocably agreed to these general terms and conditions. Courses and workshops are booked on a first-come, first-served basis. A person can register on a waiting list if a course or workshop is already fully booked.
4.3. No co-making member may take part in a course, workshop or event in the rami studio without following point 4.2. This means that every co-making member must book and pay for the respective course, etc. in advance. Co-makers receive a 10% discount on all courses.
4.4. The fees for courses, workshops and events (hereinafter referred to as "course fees") are shown in the course directory. It is noted that rami assumes no liability for the accuracy of the course fees shown therein and that these may differ in individual cases.
4.5. Payment of the course fee must be received by rami no later than 14 days after the invoice is issued and at least 7 working days before the start of the course.
4.6. In the event of payment arrears, rami will send two reminders and request payment of the arrears. Reminder fees of €7 will be charged for each reminder. If outstanding payment arrears are not settled within the period specified in the second reminder, the claim will be forwarded to a debt collection agency for collection. The costs incurred in this connection are to be borne in full by the participant; in this case, the participant will also no longer be able to take part in the course, workshop, event or co-making that he/she booked but did not pay for.
4.7. If the course or workshop leader is unable to attend, any lessons cancelled will be made up on an additional date without additional charge if possible. Alternatively, rami reserves the right to hold the course or workshop with a substitute leader. If a substitute date or leader cannot be offered, the course fees will be refunded pro rata in proportion to the number of cancelled course units compared to the total number of course units.
4.8. Rami reserves the right to cancel courses if the minimum number of participants is not reached or for other reasons. If a course is cancelled by Rami, the course fee will be refunded in full to the participants. Partial or full refunds of the course fees will be made by transfer to an account specified by the participants.
If the course location changes, an extraordinary cancellation is only possible if it is unreasonable to attend the course location due to the travel times. All course locations within the city of Vienna that can be reached by public transport using the Vienna public transport system are considered reasonable. If the course leader changes (especially if he or she is unable to attend), participants have no extraordinary right to cancel.
4.9. Only if stated in the respective course description and provided for a course or workshop, course and workshop participants have unrestricted access to the rami Studio glazes, engobes and tools during the course or workshop. The Rami firing service is available to course and workshop participants at a reduced price (see section 5.)
4.10. Cancellation of a booking can only be made in writing by letter, email or in person. A personal cancellation can only be made directly to rami during regular opening hours. If the participant cancels, the following cancellation fees are due:

Cancellations up to 14 (fourteen) working days before the start of the course: free of charge

Cancellations made 14 (fourteen) working days before the start of the course: 100% of the course fees
-
Absence without cancellation: 100% of the course fees
-
Cancellations of individual lessons with teachers up to 48 hours before the start of the course: free of charge
-
Cancellations of individual lessons with teachers 48 hours or less before the start of the course: 100%
-
Absence without cancellation for individual lessons: 100% of the course fees
The cancellation fees specified under point 4.11 are due even if the course fees have not yet been paid or have only been paid in part. If the course fees have already been paid by the participants, rami will deduct the cancellation fees from the course fees and transfer the difference to an account to be specified by the course participants.
4.11. Events held at Rami must be paid for in advance; registration or seat reservation is neither transferable nor exchangeable for other services provided by Rami.
5. Burning service
5.1. Only authorized rami employees are allowed to enter the rami firing room, set up the ovens, unload them, program the firing curves or start up the ovens. rami customers are obliged to read and follow the rami health and safety instructions contained in the rami manual and displayed in the rami studio.
5.2. Despite all due care, the rami studio accepts no responsibility for the loss or damage of ceramic pieces and reserves the right to refuse to fire any items that, in the opinion of the rami team, could damage the kilns themselves or other works in the kilns. The rami studio is not liable for any failures resulting from a firing process.
5.3. The firing service must be paid for in person and in advance to the rami studio staff during opening hours. Prices can be requested from the studio management or viewed on the rami website at www.rami-ceramics.com/brennservice and are calculated either per kilo or per kiln.
5.4. Firing processes are only carried out when a kiln is filled with a corresponding number of ceramic pieces. The decision on this is subject to the rami staff. If ceramic pieces need to be fired urgently, the available kilns can be rented as a whole at a fixed price after consultation with the management. Depending on the current studio staffing and the resulting need for kilns, the time required to fire a ceramic piece can vary. Rami is not liable for longer waiting times that may arise.
5.5. Ceramic pieces to be fired must be placed on the shelf at the desired firing temperature. Individual temperature adjustments are not possible in communal firings, as settings are chosen to achieve an overall success for the most common objects and materials. A customer can book an entire kiln and arrange a personalized firing cycle for that firing. The customer is required to provide precise details of the clays and glazes used for each piece to be fired. In certain cases, decided at the discretion of the rami team, the customer may be asked to perform clay and glaze tests to ensure the safety of the kilns and neighboring pieces. If damage occurs to our firing plates and/or kilns, the customer may be invoiced for the damage.
5.6. Proper preparation of ceramic pieces prior to glaze firing is required. If a customer is unsure how to prepare a piece for firing, he/she is asked to contact a rami staff member or consult the rami manual.
5.7. All ceramic pieces that are not picked up within 2 months will be disposed of or can be taken away by interested parties. The rami studio cannot be held liable in any way for ceramic pieces disposed of in this way.
5.8 If these conditions are not complied with, the customer will be liable for any damage caused to the kilns or firing plates by his/her work pieces and will be required to bear all repair and/or replacement costs.
6. Shop
6.1 Rami is unable to offer refunds or exchanges in any other cases unless otherwise agreed with a rami team member.
6.2. Right of withdrawal in distance selling transactions
Right of withdrawal: Participants and customers have the right to withdraw from the purchase contract within 14 (fourteen) days without giving any reason. The withdrawal period is fourteen days from the day the contract is concluded. To exercise the right of withdrawal, participants must inform the company (Teranokat OG, 1080 Vienna, Lerchenfelder Straße, 94-95/5, email: hello@rami-ceramics.com) of their decision to withdraw from the contract by means of a clear declaration (e.g. a letter sent by post or email). If this option is used and the declaration is sent properly, rami will immediately send the participants a confirmation of receipt of such a withdrawal (e.g. by email). To meet the withdrawal period, it is sufficient if the notification of the exercise of the right of withdrawal is sent before the withdrawal period has expired.
7. Damages
7.1 The inventory, rooms, media and equipment of the rami studio must be used and treated with care. Any damage must be reported immediately.
7.2. The course and workshop participants and co-making members are liable for all damages caused by them and are therefore obliged to provide appropriate compensation.
8. Data Protection
8.1. Rami takes care of your data and ensures its security. We process your data in accordance with the GDPR, the DSG 2018 and the TKG. You can find further information in the rami data protection policy.
9. Copyright
9.1. The contents of the scripts, documents and materials provided are protected by copyright and are intended exclusively for the personal use of rami customers. Any further use, in particular storage, reproduction, translation, processing and any form of commercial use as well as passing on to other persons - even in parts or in revised form - without the consent of the authors is prohibited.
9.2. Images, graphics and texts on the rami website ( www.rami-ceramics.com ) as well as on every rami publication and advertising material are subject to copyright. Reproduction, editing, publication or any other type of use is only permitted with the express permission of the rami studio.
9.3. The participants undertake to indemnify and hold harmless rami in the event of copyright claims against them arising from violations of copyright law.
10. House rules, health and safety, cleaning
10.1. All customers must strictly follow the studio guidelines set out in the rami manual. These may be amended from time to time and should be consulted regularly. Rami customers undertake to strictly follow the instructions of the studio staff to ensure smooth operation.
10.2. Co-making members and course or workshop participants use the rami Studio at their own risk and with knowledge of the associated dangers of a workshop environment. Including, but not limited to, the use and handling of sharp tools and objects, the handling of potentially toxic or harmful materials, the dangers of processing such materials and the associated risks of inhaling silicate dust.
10.3. Each Co-Making member, course participant or workshop participant must read and follow the health and safety information described in the manual. In addition, all customers and members must also follow and comply with all health and safety instructions given by the company or studio staff at all times.
10.4. In the interest of maintaining safety and hygiene, the consumption of food and drinks in the studio's work areas is prohibited. Food and drinks brought from outside can be consumed in the rami living room. With the exception of guide dogs, no pets are allowed in the studio.
10.5. Customers must use the main entrance when entering or leaving the studio. In the event of a fire, customers are asked to leave the studio via the nearest available exit.
10.6. Smoking is prohibited in the studio.
10.7. All co-making members and course or workshop participants undertake to spend at least 20 minutes cleaning the studio at the end of each session. Inhaling clay and glaze dust is harmful to health and must not be left in the studio. The work areas, including the floor, must be kept clean without exception.
10.8 Any Co-Making Member who fails to clean the Studio for the agreed 20 minutes at the end of a session will be required to pay a 20% increase to their Co-Making fee to cover staff cleaning time.
11. Legal form
11.1. Teranokat OG (trade name: rami Studio) is a general partnership with its registered office in Vienna and its business address at 1080 Vienna, Lerchenfelder Straße, 94-95/5, registered in the commercial register of the Vienna Commercial Court under FN489395 z.
12. Law and Jurisdiction
12.1 This agreement is subject to Austrian substantive law.
12.2. The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms and Conditions is – unless Section 14 of the Consumer Protection Act provides otherwise – the court with jurisdiction for Vienna.
